Terms of Service

By accessing or using the Shokan Security platform and API (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.

Shokan Security provides a real-time intent orchestration and access control platform for enterprise AI agents, including pre-execution policy evaluation, least-privilege credential orchestration, agent identity attestation, and immutable audit logging (the "Service"). The Service is provided on a usage-based subscription basis as described in our Pricing page.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use; by registering, you represent that you are using it for commercial or organizational purposes.

Account Security

You are responsible for maintaining the confidentiality of your API keys and account credentials and for all activity that occurs under your account. You must promptly notify Shokan Security of any unauthorized use of your account or any other security breach.

Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep that information updated.

Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is designed to enforce your policies on AI agents; you remain solely responsible for the configuration of those policies and for the behavior of agents operating within your systems.

Prohibited Conduct

You may not: (a) use the Service to violate any applicable law or regulation; (b) attempt to gain unauthorized access to any part of the Service or its related systems; (c) reverse-engineer, decompile, or disassemble any portion of the Service; (d) use the Service to transmit malware, harmful code, or any content that infringes third-party rights; (e) resell or sublicense access to the Service without our written consent; or (f) submit data to the Service that contains personal information of individuals without a lawful basis for doing so.

Fair Use

You may not artificially inflate usage metrics or use automated means to generate fraudulent policy evaluations or agent runs.

Shokan IP

The Service, including all software, algorithms, models, documentation, and trademarks, is owned by Shokan Security, Inc. and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Your Data

You retain ownership of all data, configurations, and policies you submit to the Service ("Customer Data"). You grant Shokan Security a limited license to process Customer Data solely as necessary to provide and improve the Service in accordance with our Privacy Policy.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Shokan Security a perpetual, royalty-free license to use that feedback for any purpose without obligation to you.

Usage-Based Fees

The Service is billed based on your monthly usage of policy evaluations and agent runs, as described on our Pricing page. Each account includes a free monthly allowance; usage above that allowance is billed at the current per-unit rates.

Payment

Fees are charged monthly in arrears to the payment method on file. All fees are non-refundable except as required by law or as explicitly stated in a separate agreement.

Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities on your purchase, excluding taxes based on Shokan Security's net income.

Suspension for Non-Payment

If any payment is past due by more than 15 days, we reserve the right to suspend access to the Service until the outstanding balance is paid in full.

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This obligation does not apply to information that is or becomes publicly available through no breach of this section, or that the receiving party already knew or independently developed.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SHOKAN SECURITY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOU ASSUME ALL RISK FOR THE SELECTION AND USE OF THE SERVICE TO ACHIEVE YOUR INTENDED RESULTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHOKAN SECURITY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SHOKAN SECURITY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SHOKAN SECURITY IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Shokan Security and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your Customer Data, your violation of these Terms, or your violation of any applicable law or third-party rights.

By You

You may terminate your account at any time by contacting us. Termination takes effect at the end of the current billing cycle. You remain responsible for all fees incurred prior to termination.

By Shokan Security

We may suspend or terminate your account immediately if you breach these Terms, if we are required to do so by law, or if we discontinue the Service. We will provide reasonable notice where practicable, except in cases of material breach or legal requirement.

Effect of Termination

Upon termination, your right to access the Service ceases immediately. Sections 5, 7, 8, 9, 10, and 13 survive termination.

Service Changes

Shokan Security reserves the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable advance notice of material changes that adversely affect your use.

Terms Changes

We may update these Terms from time to time. We will notify you of material changes by email or via a prominent notice in the platform at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be submitted to informal negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered by JAMS under its Commercial Arbitration Rules, with proceedings conducted in English in San Francisco, California. Either party may seek injunctive relief in a court of competent jurisdiction for matters involving intellectual property or confidentiality.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Shokan Security individually. To the fullest extent permitted by law, you waive the right to participate in a class action lawsuit or class-wide arbitration.

Entire Agreement

These Terms, together with our Privacy Policy and any order forms or statements of work, constitute the entire agreement between you and Shokan Security regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Failure by Shokan Security to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Shokan Security may assign these Terms without restriction.
